Terms of Use

Jurisdiction: Washington, United States. Exclusive venue for disputes is King County, Washington.

1. Acceptance of Terms

By installing the AgentCraftworks GitHub App, activating an AgentCraftworks subscription through GitHub Marketplace or Azure Marketplace, accessing the AgentCraftworks MCP server, or using any AgentCraftworks service, you ("Customer", "you", or "your") agree to be bound by these Terms of Use ("Terms").

If you are agreeing to these Terms on behalf of an organization, corporation, or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have that authority, you must not accept these Terms and must not use the Service.

If you do not agree to these Terms, do not install, activate, or use AgentCraftworks.

2. Description of Service

AgentCraftworks is an AI agent governance platform delivered as:

• A GitHub App that receives GitHub webhook events and enforces governance policies on AI agent actions within your GitHub organization
• A Model Context Protocol (MCP) server exposing tools for agent lifecycle management, handoff coordination, and observability within GitHub Copilot Agent Mode and other MCP-compatible AI clients
• A web dashboard for monitoring agent activity, reviewing compliance evidence, and managing governance configuration
• REST and MCP APIs for programmatic access to governance data and controls

The Service operates on Microsoft Azure infrastructure. It integrates with GitHub, Microsoft Entra ID, and Azure Application Insights.

The Service does not provide legal advice, compliance certifications, or regulatory opinions. Compliance evidence generated by AgentCraftworks is intended to assist your internal compliance processes; AICraftworks makes no representation that use of the Service satisfies any specific regulatory obligation.

3. License Grant

3.1 Community Edition (Free Tier)

The AgentCraftworks Community Edition source code is made available under the MIT License as published in the AgentCraftworks GitHub repository. Your rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Community Edition are governed by that MIT License.

3.2 Team and Enterprise Tiers (SaaS Subscription)

Subject to your payment of applicable subscription fees and compliance with these Terms, AICraftworks grants you a limited, non-exclusive, non-transferable, non-sublicensable right to:

• Access and use the hosted AgentCraftworks service (the "Cloud Service") during the subscription term
• Install the AgentCraftworks GitHub App on GitHub organizations covered by your subscription
• Access the MCP server tools and REST APIs included in your subscription tier
• Download and use data exports of your audit logs and compliance evidence

This license does not include:

• Access to the AgentCraftworks Enterprise source code (available separately under the Enterprise Source Access Program)
• The right to host or operate the Cloud Service independently
• The right to redistribute, resell, or sublicense the Cloud Service

3.3 Enterprise Source Access Program (ESAP)

Enterprise tier customers may separately enter into an Enterprise Source Access Program agreement granting read access to the AgentCraftworks Enterprise source code for audit, security review, and internal integration purposes, subject to confidentiality obligations and a separate ESAP agreement. Contact legal@agentcraftworks.com to discuss ESAP terms.

4. Acceptable Use

You agree to use AgentCraftworks only for lawful purposes and in accordance with these Terms. You agree not to:

1. Harm third parties: Use the Service to facilitate unauthorized access to third-party systems, distribute malware, conduct phishing attacks, or otherwise harm individuals or organizations
2. Circumvent governance: Use the Service in a way designed to defeat, disable, or circumvent AgentCraftworks governance controls — including using git commit --no-verify to bypass squad branch hooks, or configuring agents to operate outside the governance layer
3. Reverse engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Cloud Service, except to the extent that applicable law expressly permits such activity notwithstanding this restriction
4. Misrepresent compliance: Use compliance evidence generated by AgentCraftworks in a misleading or fraudulent manner, or present it to regulators in a way that misrepresents the scope of controls in place
5. Excessive load: Programmatically generate webhook events, API calls, or MCP tool invocations at a volume that materially exceeds normal operational use and causes service degradation for other customers
6. Prohibited industries: Use the Service in connection with activities that violate applicable law, including export control regulations. The Service may not be used by entities on applicable sanctions lists
7. Unauthorized data: Process data in your repositories for which you do not have the necessary rights, licenses, or consents

AICraftworks reserves the right to investigate suspected violations of this section and to suspend or terminate access if a violation is confirmed. AICraftworks will make reasonable efforts to notify you before taking action except where immediate action is required to protect the security or integrity of the Service or other customers.

5. Subscription Plans and Billing

5.1 Available Plans

5.2 Billing via GitHub Marketplace

If you subscribe via GitHub Marketplace, billing is governed by the GitHub Marketplace Additional Terms of Service. Charges are billed monthly through your GitHub account. AICraftworks receives subscription proceeds net of GitHub Marketplace fees.

5.3 Billing via Azure Marketplace

If you subscribe via Azure Marketplace, billing is governed by the Microsoft Azure Marketplace Terms. Per-seat charges are tracked via Azure Marketplace Metered Billing. Subscription management occurs through Microsoft Azure Partner Center and your Azure subscription.

5.4 Free Trial

Team tier subscriptions include a 14-day free trial. No payment information is required during the trial period on GitHub Marketplace. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid monthly subscription.

5.5 Price Changes

AICraftworks may change subscription prices with 30 days' notice for monthly subscriptions or 90 days' notice for annual subscriptions, delivered via email to the billing contact on record and via notice in the AgentCraftworks dashboard.

5.6 Refunds

Subscription fees are non-refundable except as required by applicable law or as expressly provided in writing by AICraftworks. If AICraftworks terminates your subscription without cause, you will receive a prorated refund of prepaid fees for the unused portion of your subscription term.

6. Data and Privacy

Your use of AgentCraftworks involves the collection and processing of certain data as described in the AgentCraftworks Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

By using the Service, you consent to data collection, use, and sharing as described in the Privacy Policy.

If you are using the Service on behalf of an organization subject to GDPR or other data protection regulations that require a Data Processing Agreement (DPA), contact legal@agentcraftworks.com to request a DPA before activating a paid subscription.

7. Intellectual Property

7.1 AICraftworks Intellectual Property

AICraftworks, LLC owns all right, title, and interest in the AgentCraftworks platform, including:

• The AgentCraftworks brand, logos, and trademarks
• The Cloud Service software, architecture, and algorithms (Team/Enterprise tiers)
• Compliance evidence templates and governance policy frameworks
• Documentation, marketing materials, and website content

Nothing in these Terms transfers ownership of AICraftworks intellectual property to you.

7.2 Customer Intellectual Property

You own all right, title, and interest in:

• Your agent configurations: CODEOWNERS files, .agentcraftworks.yml configuration, custom engagement level policies, squad configurations
• Your audit logs and compliance evidence: Governance records generated from your agent actions
• Your repository content: Source code, pull requests, issues, and other content in your GitHub repositories — AgentCraftworks does not claim any ownership or license rights in your repository content beyond the limited rights necessary to provide the Service

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant AICraftworks a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service. You retain no rights in the feedback you provide.

8. Disclaimers and Limitation of Liability

8.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AICRAFTWORKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF COMPLIANCE EVIDENCE GENERATED BY THE SERVICE
• WARRANTIES THAT THE SERVICE WILL SATISFY ANY SPECIFIC REGULATORY REQUIREMENT

8.2 Compliance Disclaimer

AgentCraftworks generates compliance evidence to assist your internal compliance processes. Use of AgentCraftworks does not guarantee compliance with any regulation, law, or industry standard. You remain responsible for your organization's regulatory compliance. AgentCraftworks compliance evidence should be reviewed by qualified legal and compliance professionals before being submitted to regulators.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. EXCLUSION OF CONSEQUENTIAL DAMAGES: IN NO EVENT WILL AICRAFTWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF AICRAFTWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. CAP ON LIABILITY: AICRAFTWORKS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO AICRAFTWORKS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
3. ESSENTIAL BASIS: YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE BARGAIN BETWEEN YOU AND AICRAFTWORKS, AND THAT AICRAFTWORKS WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through the GitHub Marketplace or Azure Marketplace subscription management interface. Cancellation takes effect at the end of the current billing period. After cancellation, your access to the Cloud Service will terminate and your data will be retained and then deleted per the retention schedule in the Privacy Policy, unless you request earlier deletion.

Uninstalling the AgentCraftworks GitHub App from your organization immediately stops webhook event delivery but does not automatically cancel your paid subscription. You must cancel through the marketplace.

9.2 Termination by AICraftworks

AICraftworks may suspend or terminate your access to the Service:

• For cause (immediately): Upon material violation of §4 (Acceptable Use), non-payment of fees after 10 days' notice, or if your use of the Service poses a security threat to other customers
• For convenience: With 30 days' written notice to your billing contact email

If AICraftworks terminates for convenience, you will receive a prorated refund of prepaid fees for the unused portion of your subscription term.

9.3 Effect of Termination

Upon termination for any reason:

• Your license to use the Cloud Service terminates immediately
• You must cease using the Service and uninstall the GitHub App
• Data will be retained and deleted per the Privacy Policy retention schedule
• You may submit a data export request within 30 days of termination to receive a copy of your audit logs before deletion
• Sections 7, 8, 9, 10, and 12 survive termination

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Washington, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising from or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be subject to the exclusive jurisdiction of the courts located in King County, Washington. You waive any objection to jurisdiction or venue in such courts.

Exception for Enterprise customers: Enterprise tier customers with a signed Master Subscription Agreement (MSA) may have dispute resolution terms that supersede this section. In the event of a conflict between an MSA and these Terms, the MSA controls.

11. General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy and any Order Form, Master Subscription Agreement, or Data Processing Agreement you have executed with AICraftworks, constitute the entire agreement between you and AICraftworks regarding the Service and supersede all prior agreements, understandings, and negotiations.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

11.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. AICraftworks's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign these Terms or any rights hereunder without AICraftworks's prior written consent. AICraftworks may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of AICraftworks's assets. Any purported assignment in violation of this section is void.

11.5 Force Majeure

AICraftworks will not be liable for any failure or delay in performance resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party service providers (including GitHub, Microsoft Azure, and Entra ID) outside AICraftworks's reasonable control.

11.6 Notices

Notices to you will be sent to the billing contact email on record with AICraftworks. Notices to AICraftworks must be sent to legal@agentcraftworks.com.

11.7 Updates to Terms

AICraftworks may update these Terms from time to time. Material changes will be communicated via email to the billing contact on record and via notice in the AgentCraftworks dashboard at least 30 days before the effective date. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms.
